1. Definitions

• "CubeApp" refers to the mobile and web-based platform owned by Egoras Technologies Ltd.
• "Company", "we", "our", or "us" refers to Egoras Technologies Ltd.
• "User" or "you" means any person accessing or using CubeApp.
• "Loyalty Tokens" or "Cube Tokens" are digital tokens issued within the CubeApp ecosystem to reward engagement and may be traded between users in accordance with these Terms.
• "Wallet" means the digital storage system within CubeApp that allows Users to hold and transact Tokens.
• "C-Line" refers to the internal virtual number assigned to each user for communications within CubeApp.

2. Acceptance of Terms

By using CubeApp, you confirm that:

• You are at least 18 years old and have legal capacity to enter into a binding contract.
• You have read and understood these Terms and the Privacy Policy.
• You agree to comply with all applicable laws, including data protection, anti-money laundering (AML), and virtual asset regulations.

CubeApp may update these Terms at any time and proceeding usage after updates constitutes acceptance of the revised Terms.

3. Description of Services

CubeApp provides users with:

• Encrypted internet calls and instant messaging services.
• Access to Loyalty Tokens that reward in-app engagement and may be traded between verified users.
• A MiniApp Store featuring integrated web services.
• A wallet system for holding and transacting Loyalty Tokens.

Additional features may be added or modified periodically.

4. Registration and Account Security

• Users must register using valid phone numbers and accurate personal information.
• Each User is responsible for maintaining the confidentiality of login credentials.
• You must immediately notify us of any unauthorized access or suspicious activity.
• Egoras Technologies Ltd. is not liable for losses due to unauthorized access resulting from your negligence.

5. User Obligations and Prohibited Activities

Users agree not to:

• Engage in fraud, money laundering, or other illegal activities.
• Abuse, manipulate or exploit the token reward system.
• Harass, threaten or harm other users.
• Use CubeApp for spam, phishing, or fraudulent communications.
• Upload harmful, defamatory, or illegal content.
• Reverse-engineer, decompile, or interfere with the app infrastructure.

Violation may lead to suspension, termination, and potential legal action.

6. Loyalty Tokens and Trading

• Tokens are earned through engagement within CubeApp and may be transferred between verified users.
• Tokens have no guaranteed external monetary value and are not classified as securities or currency.
• Egoras Technologies Ltd. reserves the right to modify token issuance, usage, or transfer rules.
• All token transfers are final. Egoras is not responsible for losses due to user error or fraud.

7. Fees and Payments

• CubeApp may charge transaction fees for certain token transfers and premium services.
• Fees will be disclosed before any transaction is completed.
• Egoras reserves the right to modify fees with prior notice.

8. Intellectual Property

All content, branding, software, and features within CubeApp are the intellectual property of Egoras Technologies Ltd. or licensed third parties. Users may not copy, modify, or distribute any part of the app without prior written consent.

9. Disclaimers and Limitation of Liability

• CubeApp is provided on an "as-is" and "as-available" basis without warranties of any kind.
• We do not guarantee uninterrupted service, security, or error-free operations.
• Egoras is not liable for indirect, incidental, or consequential damages arising from app use or token trading.

10. Indemnification

Users agree to indemnify and hold harmless Egoras Technologies Ltd. against all claims, losses, damages, and legal fees resulting from violations of these Terms or unlawful use of the platform.

11. Termination

• Egoras may suspend or terminate accounts for policy violations or suspected fraud.
• Users may request account deletion by contacting support.
• Upon termination, any remaining token balances may be forfeited or subject to review.

12. Governing Law and Dispute Resolution

• These Terms are governed by the laws of the Federal Republic of Nigeria.
• Disputes shall first be resolved through negotiation; failing that, they shall be referred to arbitration in Lagos, Nigeria.

13. Amendments

Egoras reserves the right to amend these Terms at any time. Material changes will be communicated via in-app notification or email. Continued use constitutes acceptance.
